1. Agreement
These Terms of Service form an agreement between you and Optify ("Optify," "we," "us," or "our"). By creating an account, purchasing a subscription, or using ListingFlow, you agree to these terms. If you use ListingFlow for an organization, you represent that you have authority to bind it.
2. The service
ListingFlow assists Shopify Partners with saving source app-listing content, translating text and images with Google Gemini, and filling target-language listing fields. You must review all output before using or publishing it. ListingFlow is not affiliated with, endorsed by, or guaranteed by Shopify or Google.
3. Accounts and Google Authentication
You must provide accurate account information, keep access to your Google account secure, and promptly notify us of unauthorized use. You are responsible for activity under your ListingFlow account. We may suspend access when necessary to protect the service, users, or third parties.
4. Subscriptions and third-party charges
Paid plans are billed at the price, interval, and currency shown when you subscribe. Subscriptions renew automatically unless canceled before the renewal date. Cancellation stops future renewals and access continues through the paid period unless stated otherwise at checkout. Taxes may apply.
Your ListingFlow subscription does not include Gemini API usage. You provide your own Gemini API key, and Google bills API usage separately under your Google account. You are solely responsible for those charges, quotas, account limits, and Google's terms. Any refund terms presented at checkout form part of these terms, and applicable consumer rights remain unaffected.
5. Your content and permissions
You retain ownership of listing text, images, translations, trademarks, and other content you submit. You grant us a limited permission to host, process, reproduce, and transmit that content only as needed to provide, secure, and support ListingFlow. You represent that you have the rights required to process and publish the content.
6. AI-generated translations
AI output may be inaccurate, incomplete, culturally inappropriate, or similar to content produced for others. You are responsible for checking translations, claims, image text, legal disclosures, and compliance with Shopify App Store requirements before publication. We do not guarantee acceptance, ranking, conversion performance, or legal compliance of any listing.
7. Acceptable use
- Do not violate laws, intellectual-property rights, privacy rights, Shopify rules, Google terms, or another party's contractual rights.
- Do not upload malicious code, bypass access or usage limits, probe security, disrupt the service, or permit unauthorized account access.
- Do not use ListingFlow to create deceptive, fraudulent, unlawful, or harmful listings or content.
- Do not resell, copy, reverse engineer, or commercially exploit ListingFlow except where applicable law expressly permits it.
8. Our intellectual property
ListingFlow, its software, design, branding, documentation, and related materials belong to Optify or its licensors. Subject to these terms and an active subscription where required, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service for its intended business purpose.
9. Availability and termination
We may modify, suspend, or discontinue features and may restrict or terminate access for breach, risk, non-payment, or legal reasons. You may stop using ListingFlow at any time. Sections that by their nature should survive termination, including payment obligations, intellectual property, disclaimers, and liability limits, will survive.
10. Disclaimers and liability
ListingFlow is provided "as is" and "as available" to the maximum extent permitted by law, without warranties of uninterrupted operation, fitness for a particular purpose, non-infringement, or accuracy. We are not responsible for Shopify, Google, Gemini, Chrome, or other third-party services.
To the maximum extent permitted by law, Optify will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities. Our aggregate liability arising from ListingFlow will not exceed the amount you paid us for ListingFlow during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law.
11. Changes and contact
We may update these terms to reflect product, legal, or business changes. Continued use after updated terms take effect constitutes acceptance where permitted by law. Questions can be sent to contact@optify.agency.
